Fidal: serving the real estate market

To gain a competitive edge, properties in the 21st century must be functional, connected and sustainable. Fidal's real estate department, composed of 30 dedicated lawyers, meets these requirements by providing the multidisciplinary skills necessary to its clients.

Lawyers with expertise in urban planning law analyze the constraints and opportunities resulting from the location of properties. Environmental risks are addressed through appropriate contracts. Fidal provides guidance in the negotiation, drafting and execution of the project and verifies the constraints that may hinder compliance with certain standards. For leasing, Fidal relies on a team specialized in commercial, civil and professional leases, acting both as advisors and litigators, to assist investors and users.

When selling properties, lawyers specialized in transactions advise and guide buyers and sellers during negotiations.
Finally, tax specialists advise the various operators on the choice of the most appropriate tax regimes and structures.
Clients are assisted by a single contact person, who brings together a team of lawyers acting as true experts at the service of the client.
Tax advice and assistance in real estate transactions
As a key component of real estate transactions, the taxation of investments is our core business. We advise all French and international real estate professionals, builders and developers, funds, public entities, in matters of direct and indirect taxation (urban planning taxes, local taxes, VAT, registration fees, income tax). We are recognized for our advice in the structuring of complex real estate investments.
Property financing
Whether you are a lender, borrower, arranger or financial institution, we will act at all stages of your financing project, from drafting financial documents, to providing guarantees and real estate sureties to putting in place funding structures (acquisitions or restructuring of real estate portfolios, transfer operations, debt management, crowdfunding, etc.).
Real estate investment and structuring
We advise companies, investment funds, banking and financial groups on all issues related to the structuring, negotiation, execution and financing of real estate investments. We are involved at every stage of your transactions: acquisition and sale of real estate or of property companies, advice on acquisition structures, asset outsourcing, risk analysis, including the defense of your interests in France and abroad.
Assistance to listed real estate investment companies and regulated investment vehicles (REITS)
Our team offers dedicated support to quoted real estate investment companies and regulated vehicles, both in their day-to-day management and in their one-off investments.
We will assist you in fundraising, initial public offerings and public offers, as well as in setting up OPCIs (Real Estate Investment Schemes) and SCPIs (Quoted Real Estate Investment Companies), in the acquisition and outsourcing of real estate portfolios or in helping new entrants join the REIT regime.
Real estate asset management: commercial leases, audits and restructuring
Our team of lawyers specialized in commercial leases is a market leader for advice and litigation relating to commercial leases.
We are involved in portfolio audits, the drafting and negotiation of leases, restructuring operations, mergers or relocation of groups of companies, revaluation of rental assets, and also assist investors and users in managing disputes (rent control, eviction compensation, lease renewal and termination, reimbursable expenses and work).
Construction and development
Fidal advises (drafting contracts, monitoring construction operations, litigation) major national and international groups acting as project owners (owners, developers, lessors, lessees) in often complex construction or refurbishment operations (shopping malls and leisure centers, hotels, logistics warehouses, high-rises, clinics, office and/or residential buildings) at each stage of their development project.
Public construction and PPPs (public-private partnerships)
Our team offers global and strategic guidance to both private and public operators participating in infrastructure projects.
We offer advice beforehand (defining contractual arrangements and legal and financial structures, reviewing the project's bankability or endorsing the model's tax assumptions), and follow up on the execution of contracts, including pre-litigation and litigation advice, if necessary.
Urban planning and development
Retail groups or private developers very often interact in the context of complex development operations, requiring specific guidance.
Our urban-planning team deals specifically with issues related to building permits, urban planning authorizations, development concessions or taxation of urban developments and financial contributions (development tax, licensing fee, PUPs (Urban Partnership Projects), contributions from builders and developers).
Environmental issues
Our specialists in environmental law have extensive experience in environmental issues that involve real estate and transactions.
Our range of services includes environmental rehabilitation operations at the end of a jobsite, as well as negotiating and regularizing deeds of sale, leasing, incorporating the environmental dimension or implementing environmental clauses as part of commercial leases and the management of disputes.
Social housing
As experts in social housing legislation, our lawyers are recognized for their specialized, comprehensive and pragmatic approach. They bring together a whole range of skills, to advise social-housing stakeholders on a day-to-day basis(consultation, analysis of legislation, study and drafting of standard deeds, negotiation and formalization of real estate transactions) or in the context of exceptional operations such as restructuring or transfers.
Property valuation
Our valuation experts can advise you on the valuation of real estate assets of all types. They are able to act in a transactional context (acquisition, sale for consideration or free of charge) for tax purposes, as well as analyzing the revaluation potential or in the event of litigation, expropriation, eviction or pre-emption, or mandatory periodic appraisals.
