DEAL - Fidal assisted Kilmer Sports Ventures in the acquisition of AS Saint-Étienne, a legendary French football club.

Fidal represented Kilmer Sports Ventures – a division of the Canadian owned, family run Kilmer Group directed by Larry Tanenbaum - in the acquisition of AS Saint-Etienne. The club, one of the most successful clubs in French football history, boasts 10 French Championship titles, six French Cups, five Champions Trophies and one League Cup.
 
Kilmer Sports Ventures was represented by Fidal and its multidisciplinary team led by Gacia Kazandjian and Geoffrey Burrows (Partners). Yohan Jabbour-Gedeon, Pierre Turberville and Antoine Neau (Lawyers), and Aude Duval-Destin (jurist) acted for the transactional and corporate law aspects of the operation, Simon Darricau (Partner) in sports law, Mathieu Hervé (Partner) in employment law, Elise Jacot (Partner) in real estate law, Arthur Bombard (Partner) in financing-related matters, Guillaume Collart (Partner) in public law, and Philippe Marchand, Thibault Hénique and Sébastien Laisney (Partners) in tax law.
 
The Fidal team involved in the transaction also included Elsa Krieger (Lawyer) in real estate law, Astrid Le Menn (Lawyer) in employment law, Maeva Vabres and Océane Michel (Lawyers) in financing-related matters, Alice Berendes and Mazarine Leprince (Lawyers) in intellectual property matters, Damien Detalmini and Pauline Fournet (Lawyers) in contract law, Ornella Despres and Maud Roux (Lawyers) in tax law. Jean-François Dumetz (Fidal Notaires) was also involved in the transaction. Odile Manège (Partner) from PPLC also acted on public law matters.
 
This transaction is of major importance for Fidal's North American development strategy, led by Gacia Kazandjian, Geoffrey Burrows and Sébastien Laisney (Partners).
 
EY was involved in tax-related matters with a team coordinated by Adam Power (Partner) for the Canadian aspects and Martin Biree (Partner) for the French aspects, assisted by Arnaud Morin and Emma Vital.
 
Havas’s Sport & Reputation practice led by Arthur Richer, Partner, acted as a Communication Advisor to Kilmer Sports Ventures for this operation.
 
The sellers were assisted by Mayer Brown, with a team comprising of Guillaume Kuperfils and Ségolène Dufetel (Partners) Richard Shear (Associate) for M&A aspects, and Rémy Bonnaud (Partner) on tax-related matters. Taylor Wessing further advised on corporate matters with Philippe Glaser, Partner, and Julie Tabeling (Counsel). Cofigex acted for the VDD led by Frédéric Durand (Partner) and Arnaud Delachaux.
 
The sellers were advised by KPMG Sports Advisory with Nicolas-David Kersen (Partner) and Hubert Tuillier (Associate Director) for the process of the sale.
